Terms and Conditions applicable to producers

PLEASE READ THE FOLLOWING TERMS AND CONDITIONS RELATING TO YOUR USE OF OUR WEBSITE CAREFULLY. By using our Website, you agree to these Terms and Conditions of Use ("Terms & Conditions"). We reserve the right, in our sole discretion, to change, modify, add or remove portions of these Terms & Conditions at any time. You should check these Terms & Conditions periodically for changes. By using this Website after we post any changes to these Terms & Conditions, you agree to accept those changes, whether or not you have reviewed them. If you do not agree to these Terms & Conditions, you should not use our Website and, if applicable, you should arrange to cancel your Member Account.

Article 1 Scope of Terms & Conditions

Unless we indicate otherwise, these Terms & Conditions apply to your use of the website which is owned and operated by the civil private limited liability company ("burgerlijke besloten vennootschap met beperkte aansprakelijkheid") Holistic Architecture 50  5, having its registered office at Ilgatlaan 9, registered in the register of legal entities of Hasselt under the number BE 0462-168-871 and our Affiliates (collectively, "we," "us," or "our"), including, without limitation, this website and any other websites that we may own or operate currently or in the future (collectively, our "Website"). For purposes of these Terms & Conditions, "Affiliates" shall mean any entity or person, directly or indirectly, owning a controlling interest in, owned by, or under common ownership control with, MaterialSource.

For the purpose of these Terms & Conditions, the following words and expressions shall have the meaning assigned to them as follows :

  • Product Card: the empty data file made available to you in order to indicate the specifications of your product on the Website (as defined hereunder), indicating the fixed sections "visibility", "Material Name", "Material Subname", "Material Description", "Material Files", "Company Info / Contact person", "Colors", "Price", "Origin", "Eco Labels", "Raw Materials", a brief questionnaire in respect of the eco-friendliness of the product, the possibility to indicate briefly the most important technical aspects of the product and the possibility to upload pictures on the Website; and
  • Order: the request through the Website to be provided with a number of Product Cards to publish information on one or more of his products on the Website in accordance with these Terms & Conditions.

Article 2 Terms & Conditions - In General

By using this Website, you agree to be legally bound and to abide by these Terms & Conditions, just as if you had signed this agreement. If you do not comply with these Terms & Conditions at any time, we reserve the right, if applicable, to terminate your password, Member Account and/or access to this Website (or any part thereof). In our sole discretion and without prior notice or liability, we may discontinue, modify or alter any aspect of the Website, including, but not limited to, (i) restricting the time the Website is available, (ii) restricting the amount of use permitted, and (iii) restricting or terminating any user's right to use the Website. You agree that any termination or cancellation of your access to, or use of, the Website may be effected without prior notice. If you do not abide by the provisions of these Terms & Conditions, except as we may otherwise provide from time to time, you agree that we may immediately deactivate or delete your Member Account and all related information and files in your Member Account and/or bar any further access to such information and/or files, or our Website. Further, you agree that we shall not be liable to you or any third-party for any termination or cancellation of your access to, or use of, our Website.

Article 3 Ordering

Unless otherwise specified, we grant you a non-exclusive, non-transferable, limited right to access, use and display this Website and the material provided hereon for your personal, non-commercial use, provided that you comply fully with the provisions of these Terms & Conditions. You acknowledge that this Website contains information, software, photos, video, text, graphics, music, sounds, questions, creative suggestions, messages, comments, feedback, ideas, notes, drawings, articles and other materials (collectively, "Content") that are protected by copyrights, data base rights, patents, trademarks, trade secrets and/or other proprietary rights, and that these rights are valid and protected in all forms, media and technologies existing now or hereafter developed. We own a copyright in the selection, coordination, arrangement and enhancement of such Content. All trademarks appearing on this Website are trademarks of their respective owners. Our commercial partners, suppliers, advertisers, sponsors, licensors, contractors and other third parties may also have additional proprietary rights in the Content which they make available on this Website. You may not modify, publish, transmit, distribute, perform, participate in the transfer or sale, create derivative works of, or in any way exploit, any of the Content, in whole or in part. When Content is downloaded to your computer, you do not obtain any ownership interest in such Content. Modification of the Content or use of the Content for any other purpose, including, but not limited to, use of any Content in printed form or on any other website or networked computer environment is strictly prohibited unless you receive our prior written consent.

Unless specifically accepted in writing and signed by an empowered representative thereto of MaterialSource, any terms proposed or submitted by a user at any time (including, but not limited to, terms or provisions in your Order, instructions or other document) which differ from these Terms & Conditions are rejected as an alteration of these Terms & Conditions and shall be of no force or effect. Furthermore, special terms or conditions agreed upon in respect of any prior Orders will not automatically apply to subsequent Orders. Each Order accepted by MaterialSource will be treated as a separate agreement between MaterialSource and yourself.

Article 4 Price and terms of payment

4.1 The charge for the provision of the Product Cards for a period of one year as from the date of the placement of your order (the "Price") is €4800
The abovementioned price is exclusive of all applicable taxes (including sales, use and VAT) and is based on tariffs in force at the day of the remittance of your Order. Applicable taxes are those in force at the date of payment of the Price.
If payments are made by PayPal, the general terms and conditions of PayPal shall be applicable to any such payments.

4.2 Save for payment of the Price for the subscription package at the latest thirty days prior to the termination of the one year term as from the date of the placement of your order, the Product Cards will be removed from the Website as from the date of the termination of the one-year term as from the date of the placement of your order.

Article 5 Restrictions on Use of Materials

Unless otherwise specified, we grant you a non-exclusive, non-transferable, limited right to access, use and display this Website and the material provided, provided that you comply fully with the provisions of these Terms & Conditions. You acknowledge that this Website contains information, software, photos, video, text, graphics, music, sounds, questions, creative suggestions, messages, comments, feedback, ideas, notes, drawings, articles and other materials (collectively, "Content") that are protected by copyrights, data base rights, patents, trademarks, trade secrets and/or other proprietary rights, and that these rights are valid and protected in all forms, media and technologies existing now or hereafter developed.
